OFFICIAL RULES FOR PROMETHEAN "IF I RULED THE WORLD" PROMOTION

  1. The Promotion

    (a) Promethean (also referred to as "Sponsor") will conduct a Promotion ("Promotion") with Bi-Weekly Prize drawings during the period from February 3, 2009 through May 29, 2009 (the "Promotion Period") and a drawing for a Grand Prize on June 1, 2009. The Bi-Weekly Prizes are a set of 32 Activexpression LRS Handhelds and the Grand Prize is a complete Activclassroom Makeover, described below. The prizes will be awarded to the schools of eligible winning teachers in public and private primary and secondary schools whose classes participate in Sponsor's "If I Ruled The World" interactive educational online website at http://www.IfIRuledTheWorld.com for the use and benefit of their classes and schools. No purchase is necessary to participate in and enter the Promotion.

    (b) How it Works: Class Participation Generates Entry. The Promotion is only open to teachers (see Section on "Eligibility" below) who participate for the benefit of the teacher's school and class. Once a teacher (since a teacher is the one who enters on behalf of the teacher's class and school, a teacher, together with the class and school, is sometimes referred to as the "Entrant") has registered a school class on the website, a class profile is established, and the Entrant may log in and interact on the website using a virtual version of Sponsor's Activexpression Learner Response System at no charge. As the Entrant interacts with the website features, the Entrant will be able to ask and respond to questions and participate in discussions with other participants on various topics, which will drive class lessons. A class "Activity Monitor" will measure and track the Entrant's participation, and as such participation increases, the Entrant will receive percentage points that will apply toward the Promotion. By entering, the Entrant represents that the school and parents of students in the class have consented to participate in the Promotion.

    (c) Activity Monitor. Participation points will be awarded and computed by the Activity Monitor for each Entrant for each week of the Promotion Period in the following circumstances and manner: (i) by posting new questions online on the website; an Entrant which posts at least five (5) questions in a week will be awarded a maximum of twenty (20) percentage points; (ii) by posting answers online to questions on the website; an Entrant which posts at least five (5) answers in a week will be awarded a maximum of thirty (30) percentage points; (iii) by spending time on the website; an Entrant which spends at least sixty (60) minutes in a week on the website will be awarded a maximum of twenty (20) percentage points; (iv) by posting a question on the website which becomes one of the five (5) "Top Questions" on the website's home page in a week as measured through responses to the question by other users; an Entrant will be awarded a bonus of ten (10) percentage points for each "Top Question"; and (v) by referring the details of the Promotion and website to three (3) or more other persons; an Entrant will be awarded a bonus of ten (10) percentage points upon Sponsor's receipt of evidence of such minimum number of referrals, provided that additional referrals made after being awarded bonus points pursuant to this option will not be counted toward the minimum number of referrals necessary for a further bonus award until after the Entrant's percentage points are reset to zero as hereinafter provided (this option (v) not available to residents of New Zealand). Percentage points carry over from week to week subject to being reset to zero after reaching one hundred (100) percentage points as described in the next subsection (c).

    (d) Entry by Activity. When an Entrant's class has been awarded sixty (60) percentage points (as measured from the zero percentage point level), the Entrant will receive one (1) automatic entry into the next and all subsequent Bi-Weekly Prize drawings. When a class has been awarded one hundred (100) percentage points, the Entrant will receive one (1) automatic entry into the drawing for the Grand Prize. After a class has reached one hundred (100) percentage points, the Activity Monitor will reset the Entrant's percentage points to zero and the Entrant can continue to participate that week and the Entrant can achieve additional entries in the Bi-Weekly Prize and Grand Prize drawings if the percentage thresholds are satisfied. However, once an Entrant has won a Bi-Weekly Prize drawing, the Entrant will no longer be eligible to win any additional Bi-Weekly Prizes during the Promotion Period but will remain eligible to win the Grand Prize Drawing and can continue to achieve additional entries for the Grand Prize drawing for the balance of the Promotion Period.

    (e) Entrant Registration. To enter on behalf of a class and school, a teacher must submit the following information when registering on the website: (i) first name, (ii) last name, (iii) email address, (iv) school name, (v) school address, (vi) city, (vii) state/province, and (viii) country.

    (f) Alternate Means of Entry. A teacher who is unable, or does not wish, to participate in the Promotion through a class' participation in the interactive educational online website can nevertheless obtain one (1) single entry into both the Bi-Weekly Prize and Grand Prize drawings by registering on the website and submitting the information called for in subsection (d) above. All terms, conditions and restrictions of these Rules apply to any such entry.

    (g) Entry Information. The Entrant whose identification information is submitted with the registration must be the authorized email address account holder. Sponsor is not responsible for late, lost, incomplete, illegible, or misdirected Entries or printed errors in these Official Rules. Subject to the Sponsor's Privacy Policy (see Section on "Privacy" below), upon submission, each Entry and other information provided in interaction with Activexpression on the website ("Entry Information") becomes the exclusive property of Sponsor subject to Sponsor's exclusive and unrestricted use, and submission shall constitute a license for use of same. The Sponsor's exclusive and unrestricted right to use all or any part of the Entry Information includes, without limitation, the Sponsor's use of the Entry Information on the Sponsor's website or in electronic communication form and in any printed publications, and the Sponsor's right to edit the Entry Information. In no event, shall the Entrant be entitled to any compensation for the Entry Information or the Sponsor's use of the Entry Information. The Entry Information will not be returned to the Entrant.

  2. Promotion Period

    The Promotion begins on February 3, 2009 and runs until May 29, 2009. Entries must occur by 11:59 p.m. U.S. Eastern Standard Time ("EST") two (2) days prior to a Bi-Weekly Prize drawing as listed below and by 11:59 p.m. EST on May 29, 2009 for the June 1, 2009 Grand Prize drawing.
  3. Submission Restrictions and Conditions

    (a) Entrants/teachers are responsible for the content they or their class posts online. No names or email addresses of students should be posted on the website. The website is monitored and any offensive or unsuitable content will be removed. Entrants and their classes will be removed from the website for any questionable or offensive material posted. This website has been designed and produced for educational purposes. Sponsor reserves the right, at its sole discretion, to remove classes and/or teacher accounts if there is any indication of abuse. This includes overpopulating questions or content to enhance a class ranking.

    (b) Sponsor assumes no responsibility or liability whatsoever for incorrect, incomplete or inaccurate Entry Information, whether caused by an Entrant, by any equipment or programming associated or utilized in this Promotion, or by any human error, which may occur in the processing of the Entries. Sponsor assumes no responsibility or liability whatsoever for any technical malfunctions of any telephone network or lines, computer online systems, networks, servers or providers, computer equipment, software, incomplete or garbled transmissions, or failure of email or media for any reason. Sponsor assumes no responsibility or liability whatsoever for any injury or damage to any computer, computer accessory, software, or any other technology used by the Entrant to download or upload materials in this Promotion. If, for any reason, the Promotion is not capable of running as the Sponsor had planned, the Sponsor has the exclusive and unrestricted right in its sole and unequivocal discretion to alter, modify or cancel the Promotion without notice to any Entrant. Reasons that the Sponsor may modify or cancel the Promotion include, without limitation, technological problems of the Sponsor's computer system regardless of cause, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion.

  4. Eligibility

    The Entrant must be a currently-employed classroom teacher in grades K-12 in an established public or private primary or secondary/high school within the 50 United States, the U.S. territories and possessions and Canada, excluding residents of the Province of Quebec (the "North America Region"); the United Kingdom (including England, Scotland and Wales) and Ireland (they are referred to as the "Europe Region"); and Australia, excluding residents of the States of New South Wales, Victoria, South Australia and Tasmania and the Territories of Australian Capital Territory and Northern Territory, and New Zealand (the "APAC Region"). The Entrant must be a legal resident of the U.S., Canada, United Kingdom, Republic of Ireland, Australia or New Zealand who is at least 21 years old (18 years old in the Republic of Ireland) as of the first day of the Promotion Period. Entrants are limited to participation only in the Bi-Weekly Prize drawings in the particular Region of their geographic location. Employees of Sponsor, its divisions, subsidiaries, parent, resellers and affiliates and immediate family members of such employees, or persons living in the same household of such employees, are not eligible to be an Entrant. The Promotion is governed by the laws of the state of Georgia, United States, without regard to Georgia’s choice of law rules. The Promotion is void where prohibited by law.
  5. Jurisdiction and Venue

    Entrant agrees that (1) any and all disputes, claims and causes of action arising out of this Promotion or the prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in Atlanta, Georgia; (2) any claims, judgments and awards shall be limited to actual damages incurred but, in no event, to include attorneys fees; (3) no punitive, incidental, special, consequential or other damages, including, without limitation, lost profits may be awarded (collectively "Special Damages") and (4) Entrant hereby waives all rights to claim Special Damages and all rights to have any type of damages multiplied or increased. By participating in the Promotion, each Entrant agrees to be bound by these Official Rules and the decisions of the Sponsor. Sponsor's decisions shall be final and binding in all respects with regard to administering the Promotion and shall not be subject to appeal. Each Entrant agrees to release the Sponsor, its parent, subsidiaries, affiliates, divisions, agents and employees from any and all liability, claims or damages arising out of the Entrant's participation in the Promotion, the use of any submissions as stated herein and the acceptance and use of any prize.
  6. Bi-Weekly Prize Drawings and Grand Prize Drawing

    (a) Bi-Weekly Drawings. Three (3) Bi-Weekly Prize random computerized drawings, one for each of the North America, Europe and APAC Regions, will be held during the hours of 9:00 a.m. to 4:00 p.m. U.S. Eastern Standard Time ("EST") on the following dates for all eligible entries achieved and qualified by 11:59 p.m. EST at least two (2) days prior to the dates of the Bi-Weekly Prize drawings (each a "Closing Date") for each of the Regions (e.g., for the February 16, 2009 drawing, an eligible entry from any Region must be achieved by 11:59 p.m. EST on the Closing Date of February 13, 2009).

    (b) Grand Prize Drawing. All eligible entries received and qualified by 11:59 p.m. EST on the Closing Date of May 29, 2009 will be included in the Grand Prize random computerized drawing scheduled to take place on June 1, 2009.

    (c) If necessary, the dates of the drawings may be altered by the Sponsor at its sole discretion without notice to the Entrants. The drawings will be conducted within the sole discretion of Sponsor and its representatives, whose decision shall be final and binding in all respects. Sponsor will not be responsible for any and all local, state, federal or other taxes for any prizes awarded.

    (d) An Entrant is only entitled to win one (1) Bi-Weekly Prize drawing and corresponding prize in the Entrant’s geographic Region for Entrant's school class. Such an Entrant will not be eligible to win any additional prize for Entrant’s school class in subsequent Bi-Weekly Prize drawings during the Promotion Period but will remain eligible to win the Grand Prize and to continue to achieve additional entries for the Grand Prize drawing.

    (e) The odds of winning depend on the number of eligible and qualified entries received by the Closing Date for each drawing and the number of such entries achieved by an Entrant. All prizes will be awarded. An Entrant need not be present to win.

  7. Prizes

    (a) The Bi-Weekly Prizes will be awarded to the winners of the Bi-Weekly Prize drawings in each of the North America, Europe and APAC Regions. A Bi-Weekly Prize will be a set of thirty-two (32) Activexpression LRS Handhelds. Eight (8) Bi-Weekly Prizes will be awarded to winners in each of the North America, Europe and APAC Regions. The approximate retail value ("ARV") of a Bi-Weekly Prize is $2,700 (USD).

    (b) One (1) Grand Prize of an Activclassroom Makeover package (which includes one (1) Activboard+2 78" adjustable with sound, one set of 32 Activexpression LRS Handhelds and one (1) Activwand TM) shall be awarded to the Grand Prize drawing winner. The ARV of the Grand Prize is $7,069 (USD).

    (c) All prizes shall be awarded to the Entrant's school for the benefit and use of the class of the winning Entrant and not for the personal benefit of the individual teacher or students in the class.

    (d) The total ARV of all prizes (a total of 24 Bi-Weekly Prizes and 1 Grand Prize) to be awarded in the Promotion is approximately $71,869 (USD).

    (e) Prizes may not be transferred or assigned or redeemed for cash. No alternative prizes may be requested, although Sponsor reserves the right to substitute a prize of comparable value if this is necessary. Prize winner must agree to certain terms and conditions related to eligibility, release of liability, consent to use of any submitted Entry Information and questions and Sponsor's use of winner's name and/or likeness for publicity, advertising and promotional purposes, without compensation (unless prohibited by applicable law) as part of the prize claim process. Winner may be required to complete an affidavit of eligibility, liability and publicity release.

  8. Winner Notification and Prize Shipping

    (a) The awards of the Bi-Weekly Prizes and Grand Prize are scheduled to be announced to the winners within seventy-two (72) hours of the drawing by email to the teacher who registered for the Entrant. Failure to respond and claim a prize within fourteen (14) days of such prize winner notification, or return of a prize winner notification as undeliverable, or the inability of Sponsor to contact a winner due to insufficient, inaccurate or incomplete contact information provided to Sponsor, or emails being blocked by the winner's email filter, or the winner being otherwise ineligible, will result in the immediate disqualification of such winner. Upon disqualification of a winner, the Sponsor has the option, at its sole discretion, to select and notify an alternate winner. Any alternate winner shall be notified by email and must respond and claim the prize within seven (7) days of prize winner notification by the Sponsor to qualify to receive the Prize. Failure by any alternate winner to respond within such time period shall result in the disqualification of the alternate winner and Sponsor, in its discretion, may select another alternate winner under the same terms and conditions.

    (b) Prizes will generally be shipped for delivery to the school of a Sponsor-certified winner within approximately four (4) to six (6) weeks after winning and completing all required documentation, subject to availability and causes beyond the reasonable control of Sponsor. Sponsor will pay for shipping to the winner's school. Sponsor will not be responsible for unforeseen duties, taxes or customs for shipping prizes to a winner's school.

  9. Conditions of Participation and Certain Restrictions

    The Entrant is solely responsible for properly and timely entering and participating in the Promotion in accordance with these Official Rules, as well as claiming a prize if selected as a winner. As previously stated, Entry Information and questions will not be returned and become the property of the Sponsor. Subject to Sponsor's Privacy Policy (see Section on "Privacy" below), the Entrant grants Sponsor and its affiliates a nonexclusive, world-wide royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display and otherwise exploit such Entry Information and questions or any part thereof throughout the world in any media, whether now known or hereafter created. The Entrant grants Sponsor and its affiliates and sub-licensees the right to use the name submitted in connection with any Entry. The Entrant represents and warrants that the Entrant owns or otherwise controls all of the rights to the content of each Entry; that all such contents of the Entry Information are accurate; that use of the contents of the Entry Information and interactive discussions will not violate these Official Rules and will not cause injury to any person or entity; and that the Entrant will indemnify Sponsor and its affiliates for any and all claims resulting from any use of such Entry Information. By entering the Promotion, the Entrant waives any and all rights to any submitted information, including all of its contents, and confirms that Sponsor, its successors and assigns shall retain the rights to such information, as specified herein. All Entry and interactive discussion and question information must be in English, must be in keeping with Sponsor's image and may not be offensive or inappropriate, as determined by Sponsor in Sponsor's sole discretion. Sponsor reserves the right, and the sole discretion, to disqualify entries not in keeping with Sponsor's image or that are inappropriate or offensive.

    IMPORTANT: ANY ATTEMPT TO DEFRAUD OR VIOLATE THESE OFFICIAL RULES IN ANY WAY IN CONNECTION WITH THIS PROMOTION MAY BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW AT SPONSOR'S SOLE AND ABSOLUTE DISCRETION. SPONSOR RESERVES THE RIGHT TO MAKE ANY INVESTIGATION INTO THE ELIGIBILITY OF A WINNER AND DELAY THE AWARD OF ANY PRIZE DURING THE INVESTIGATION FOR ANY PERIOD OF TIME DEEMED NECESSARY AND PENDING THE RECEIPT OF ANY AND ALL INFORMATION DEEMED NECESSARY. IF SPONSOR SUSPECTS ANY ENTRANT OF ATTEMPTING TO DEFRAUD OR VIOLATE THE RULES IN ANY WAY, SPONSOR RESERVES THE RIGHT TO DISQUALIFY THAT ENTRANT FROM THIS AND ALL FUTURE SPONSOR PROMOTIONS. SPONSOR'S DECISIONS RESULTING FROM ANY SUCH INVESTIGATION SHALL BE FINAL AND BINDING IN ALL RESPECTS.

  10. List of Prize Winners

    The Sponsor will post the names of the Bi-Weekly Prize winners after each Bi-Weekly Prize winner is confirmed until the next Bi-Weekly winner is drawn and confirmed and will post the names of all confirmed Bi-Weekly Prize winners and the Grand Prize winners on its website for a period of thirty (30) days after the termination of the Promotion. The Sponsor also plans to make the names of such prize winners available to any Entrant who requests such names in a signed letter to the Sponsor received at the below address by June 8, 2009, and provides a stamped, self-addressed envelope.
  11. Privacy

    By participating in this Promotion and the Sponsor's website, the Entrant agrees to Sponsor's general website terms and conditions of service and Privacy Policy. All Entrants agree to the collection, use and disclosure by the Sponsor and its parent, subsidiaries and affiliates of their personal information for the purposes provided for herein, including administering the Promotion and for marketing purposes by Sponsor, its parent, subsidiary and affiliate (subject to an Entrant's right to opt-out of same). The Entrant's information is not otherwise disclosed to a third party, unless required by law, and is treated in accordance with Sponsor's Privacy Policy found on the website.
